An attorney will also inform you of the responsibilities you owe to your employees and customers to avoid liability. Corporate law covers business organization, contracts, sales, employment, and more.

Our attorneys have helped many clients with mergers, acquisitions, dispositions, and business agreements. We provide our clients with the corporate strategy they need to succeed. No matter your corporate law needs, our team can help. Call us today!

Last Will and Testament

A last will and testament is a legal document that provides your wishes to be followed after your death. A will controls the division of your individually owned assets and appoints guardians for children. In your will an executor is nominated to manage the distribution of those assets. If you die without a will or a trust, your assets will be distributed by the law of intestacy, which means the state directs who inherits your money. A will ensures that your individually owned assets go to the individuals that you want.

Mergers and Acquisitions

At the Law Offices of John L. Luffey, Jr., our lawyers have handled a wide range of business mergers and acquisitions throughout Northeast Louisiana. We represent both small and mid-sized businesses in a wide range of transactions, including:

  • • Business sales and purchases
  • • Business mergers and acquisitions
  • • Asset sales and purchases
  • • Joint Ventures
  • • & More

Your estate consists of all your property, including:

  • • Your home and other real estate
  • • Tangible personal property, such as cars and furniture
  • • Intangible property like insurance, bank accounts, stocks and bonds, and pension and social security benefits
  • • Any ownership interest you may have in a local business
  • • An estate plan is your blueprint for where you want your property to go after you die

Trusts

A trust is a legal entity that manages your assets during your life and/or after your death. It provides a means of managing your affairs should you become disabled. It can be difficult to conceptually grasp the concept of a trust; the best way to understand a trust is to think of it as a company:

  • • The person who starts the trust is the settlor, in a business this would be in the investor.
  • • The person who runs the trust is the trustee, in business this would be the CEO or president.
  • • The person who receives money from the trust is the beneficiary, in a business this would be the customer receiving services or the owners receiving money back from the company.
  •

One person can be the settlor, trustee, and beneficiary of a trust.

Federal Tax

Our attorneys offer federal tax advice to clients at all stages of business. We are proud to represent clients who are just starting to form a business, changing the structure of an existing business, or acquiring a company from someone else. Our lawyers have experience in the formation of all different kinds of business entities, including corporations, general partnerships, limited partnerships, and limited liability companies.

We are available to work one-on-one with business owners to discuss how federal income tax will impact their business purchase or sale. Our lawyers know the ins and outs of dealing with the effects of federal taxes on mergers and acquisitions. We will work with you to try and minimize federal income, estate and gift taxes.
